MAIN ACTIVITIES
Legal AREA
· Provide accurate and timely advice to internal clients (at Group level & BU level) in various legal topics according to applicable regulations. .
· Contribute to the review of the Group’s legal policies and the definition of intellectual property policies to manage the brands and products.
· Contributing to the design of legal strategies to be put forward at trial (in coordination with external legal counsel).
· Contribute to the coordination and tracking the different growth/reorganization projects from a legal standpoint affecting the subsidiaries. Contribute to the supervision of all legal documentation that affects the subsidiaries. Understand local legislation well enough to advise and when necessary to enforce compliance with the laws in each jurisdiction; supervise the approval of annual accounts; direct the legal assistance and support provided to the subsidiaries in legal matters and the import/export laws affecting our products.
· Contribute in the creation of “framework” agreements common to all suppliers depending on their products; advise and validate the documents of the Purchasing Department (purchase and sale of investment items, commodities, services, general contractual conditions, relations with suppliers, etc.) and the Finance Department (financing agreements, bank guarantees, etc.).
· Contribute to the establishment of policies to minimize legal risks; protects the company’s sensitive and confidential documentation, assist in managing and supervising the routing of claims affecting the subsidiaries or the group; manage and supervise the trademarks licensed to the company.
· Prepare, draft and revise, under the supervision of legal manager, contracts and legal documents that involve the group or its shareholders, including the documentation necessary for Board Meetings and General Shareholders Meetings.
· Follow-up on the legal secretariat and formalities at commercial register level (Group and BU).
· Contribute to the review all legal documents before they are signed by Board of Directors members, Shareholders and Executive Team members.
· Archiving of legal documents (commercial contracts, warranties, minutes, etc.) under the supervision of the legal manager and contributing to the creation of an archiving system.
· Follow-up of pre-litigation and litigation files at Group and BU level.
· Contributing to raise awareness of legal issues among operational teams, particularly with regard to the proper performance of contracts.
· Providing assistance to compliance area in connection with the implementation of Group’s compliance policies at Group level and subsidiary level.
· Ensure compliance to general regulations and those in connection with the group business.
Cross-Management
Contribute to the supervision of the different external providers of legal services (external attorneys, notaries, registries, law firms)
EDUCATIONAL AND OTHER SPECIFIC TRAINING REQUIREMENTS :
· Law Degree
· MBA or master’s degree in law/finance/auditing.
· Training in compliance programs is very valuable.
· In-depth understanding of how legal issues affect organizations.
· Languages: fluent in English and French, Arabic (Reading and comprehension abilities)
· Advanced user of MS-Office suite
